This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and XMBS IT Infrastructure (“Company,” “We,” or “Us”), governing your use of our software and services (“Software”). By using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes, in accordance with the terms and conditions of this Agreement.

2. Restrictions You agree not to:

  • Modify, copy, distribute, create derivative works of, reverse engineer, decompile, or disassemble the Software.
  • Remove or alter any proprietary notices or labels on the Software.
  • Use the Software for any illegal or unauthorized purpose.
  • Transfer, sublicense, lease, lend, or rent the Software to any third party.

3. Ownership The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights. Your use of the Software does not grant you any ownership rights.

4. Updates and Upgrades We may provide updates, upgrades, or patches to the Software from time to time. These updates may be automatically installed without providing any additional notice or receiving any additional consent. You agree to accept such updates as part of your use of the Software.

5. Termination This Agreement is effective until terminated by either party. You may terminate this Agreement at any time by discontinuing use of the Software. We may terminate this Agreement immediately, without prior notice, if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

6. Disclaimer of Warranties The Software is provided “as is,” without warranty of any kind. We disclaim all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability To the fullest extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Software; (b) any unauthorized access to or use of our servers and/or any personal information stored therein.

8. Indemnification You agree to indemnify, defend, and hold harmless XMBS IT Infrastructure, its affiliates, officers, agents, and employees, from any claim, demand, or damages, including reasonable attorneys’ fees, arising out of or related to your use of the Software or your violation of this Agreement.

9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the UAE.
